1. Acceptance of Terms

By accessing or using the IPO Guruji website, API, documentation, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and IPO Guruji ("we," "us," or "our"). By registering an account or making API requests, you confirm that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. Service Description

IPO Guruji provides a REST API platform that delivers Indian stock market data, including but not limited to:

Initial Public Offering (IPO) details, timelines, and subscription data
Grey Market Premium (GMP) data
Sovereign Gold Bond (SGB) series information
New Fund Offer (NFO) details and AMC data
Rights Issues, Buyback, NCD, and OFS data

The data is aggregated from publicly accessible sources including NSE, BSE, AMFI, and RBI. The Service includes the API endpoints, developer dashboard, documentation, and webhook delivery system.

3. User Accounts & API Keys

3.1 Account Registration

To use the API, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 API Keys

Upon registration, you will receive API keys to authenticate your requests. You agree to:

Keep your API keys confidential and secure
Not share, publish, or expose your API keys in client-side code, public repositories, or any publicly accessible location
Immediately notify us if you suspect unauthorized use of your API keys
Use API keys only for server-to-server communication

We reserve the right to revoke or rotate API keys at any time if we detect misuse, security concerns, or violations of these Terms.

3.3 Account Security

You are solely responsible for the security of your account and API keys. IPO Guruji shall not be liable for any loss or damage arising from your failure to secure your credentials.

4. Subscription Plans & Usage Limits

IPO Guruji offers tiered subscription plans with varying features and usage limits:

Exceeding your plan's rate limits will result in HTTP 429 (Too Many Requests) responses. Persistent or intentional rate limit abuse may result in account suspension.

We reserve the right to modify plan pricing, features, or limits with 30 days' prior notice via email.

5. Prohibited Uses

You agree not to use the Service to:

Resell or redistribute data: You may not resell, sublicense, or redistribute IPO Guruji data as a standalone dataset or competing API service
Excessive scraping: You may not scrape, crawl, or systematically download data beyond your plan's rate limits, or attempt to circumvent rate limiting
Misrepresent data source: You may not present IPO Guruji data as your own original data or remove attribution where required
Interfere with the Service: You may not attempt to disrupt, overload, or compromise the security or integrity of our infrastructure
Reverse engineer: You may not reverse engineer, decompile, or attempt to extract the source code of the Service
Automate account creation: You may not create multiple accounts to circumvent plan limits or restrictions
Violate laws: You may not use the Service in any manner that violates applicable local, state, national, or international law
Provide investment advice: You may not use our data to provide regulated investment advice without appropriate SEBI registration

6. Data Accuracy & Disclaimers

The data provided through our Service is aggregated from publicly accessible third-party sources. As detailed in our Disclaimer:

We do not guarantee the accuracy, completeness, or timeliness of any data
Data may be delayed, incomplete, or contain errors
GMP data is inherently speculative and sourced from unofficial channels
The data does not constitute investment advice
Users should independently verify all data before relying on it

THE SERVICE AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

7. Service Availability

While we strive to maintain high availability, we do not guarantee uninterrupted or error-free operation of the Service. The Service may be temporarily unavailable due to:

Scheduled or unscheduled maintenance
Infrastructure failures or network issues
Changes in third-party data source availability
Force majeure events

We will make reasonable efforts to notify users of planned maintenance in advance. We are not liable for any damages resulting from Service downtime or unavailability.

8. Intellectual Property

8.1 Our IP

The IPO Guruji brand, logo, website design, API architecture, documentation, and all software code are our intellectual property or licensed to us. You may not copy, reproduce, or create derivative works based on our proprietary materials.

8.2 Data IP

The underlying financial data originates from third-party sources (NSE, BSE, AMFI, RBI, etc.) and remains the intellectual property of those organizations. We provide access to aggregated and formatted versions of this publicly available data.

8.3 Your Rights

Subject to these Terms and your subscription plan, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the data through our API for your internal business purposes or application development.

9. Payment Terms

Paid subscriptions are billed monthly in Indian Rupees (INR)
Payments are processed securely through Razorpay
Subscriptions auto-renew unless cancelled before the renewal date
All prices are exclusive of applicable taxes (GST)
Failed payment attempts may result in temporary service suspension until payment is resolved

10. Termination

10.1 By You

You may cancel your subscription and close your account at any time through the dashboard or by contacting support. Cancellation takes effect at the end of the current billing period.

10.2 By Us

We may suspend or terminate your account immediately if:

You violate these Terms or any applicable law
You engage in prohibited uses as described in Section 5
Your API key usage patterns indicate abuse or security concerns
Your account is used for fraudulent or illegal activities
You fail to pay applicable subscription fees

10.3 Effect of Termination

Upon termination, your API keys will be immediately revoked and access to the Service will cease. You will not be entitled to a refund for the current billing period. Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IPO GURUJI AND ITS OPERATORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless IPO Guruji and its operators, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any applicable law or regulation
Any application or service you build using our data

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before they take effect. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.
